ACID Standard Terms and Conditions of Business include a standard set of basic conditions to which additional specific clauses relevant to a particular set of circumstances can be added and included if required. The document is intended to be a reasonable and professional foundation on which two parties can work together in a business relationship. By including clauses specific to intellectual property rights in your terms and conditions of business you will raise awareness of your ownership of these rights. These Terms and Conditions are intended to be used as a starting point for creating a document which fulfils the user’s needs. It is important to remember that no two situations are the same, and it is likely that not all clauses will be appropriate or suitable for all users.
Below is an example of how the agreement could be used. This does not cover every situation but gives an idea of how it works in a practical business situation. Additional clauses can always be added, or existing clauses adjusted for your personal use, by a specialist Intellectual Property lawyer.
When would you use it?
When you would like to supply your products perhaps to a retailer and need to establish such things as delivery or payment terms and – most importantly – your ownership of the intellectual property rights to the products you provide.
With Whom?
Anyone with whom you would like to establish a good business relationship.
Why?
To ensure that both parties recognise each other’s expectations and agree to them from the start of the relationship.
This agreement is a reusable legal document template which you can alter to include names, dates, addresses etc. There may be some clauses which need to be amended or deleted as they do not apply to your circumstances. This is because the document is designed as a general document to cover most commercial situations and therefore certain wording may not be appropriate, or suitable, for all situations.
As this agreement has not been drafted specifically for your circumstances, it is strongly advised, once you have made the appropriate changes to meet your business requirements, that you check it with your solicitor or with an ACID Accredited lawyer before using it, in order to ensure that the document suits your particular circumstances. No liability is accepted by ACID or any ACID Accredited Law Firm.
